Purpose of Position
Mattel is looking to hire an Expert
Counsel, Executive Compensation to provide high quality legal services in
the areas of executive compensation, equity administration, compensation and
benefits programs, and related compliance and disclosure issues. The Senior Counsel will report to Mattel’s
Chief People Officer.
Key Qualifications
·
JD and strong
academic background
·
8 or more
years of experience as an executive compensation and benefits attorney with a
national or global law firm and/or a public company.
·
Prior in-house
(public company) legal experience strongly preferred.
·
Strong
technical knowledge of relevant U.S. federal tax and securities laws is
required.
·
General
familiarity with ERISA and tax-qualified plans.
·
Excellent
verbal and written communication skills and strong organizational abilities.
·
A desire to
work in a fast-paced, high demand team environment
·
Possess high
level of integrity, judgment, and professionalism
Specific Duties and Responsibilities
The position will be responsible for a broad range of work
relating to executive compensation, equity, and compensation and benefits
programs, working closely with a cross-functional team (HR, Legal, Tax,
Finance, Payroll).
Specific duties include: advise on executive and broad-based
compensation plans and programs and related corporate governance and disclosure
matters; assist with the preparation and review of materials for the
Compensation Committee; provide legal advice to the Administrative Committee; responsible
for the compensation disclosure items in connection with the annual proxy
filing; and provide compensation & benefits legal support for M&A
transactions.
